Nuelmed International Ltd.
These Purchase Terms and Conditions (“Purchase Terms”) apply to all purchases of products and/or services from Nuelmed International Ltd., its subsidiaries, or affiliates (“Nuelmed,” “we,” “us,” or “our”), whether made through our website, email, phone, or any other ordering channel.
By placing an order with Nuelmed, you (“Customer,” “you,” or “your”) agree to be bound by these Purchase Terms.
1. Entire Agreement
These Purchase Terms constitute the entire agreement governing your purchase of products and/or services from Nuelmed, unless a separate written agreement signed by both you and Nuelmed exists.
If a written agreement exists, that agreement shall prevail only to the extent it expressly addresses a specific matter. Where such agreement is silent, these Purchase Terms shall apply. Any additional or conflicting terms proposed by you are expressly rejected unless agreed to in writing by Nuelmed.
Nuelmed reserves the right to amend these Purchase Terms at any time at its sole discretion.
2. Pricing
All prices are subject to change without prior notice. Prices quoted do not include applicable taxes, duties, shipping, insurance, customs charges, or other governmental fees unless expressly stated otherwise.
Any increase in costs related to manufacturing, procurement, transportation, labor, or regulatory requirements occurring prior to shipment may be passed on to you. You agree to pay all applicable taxes and statutory charges imposed in connection with your purchase, excluding taxes based solely on Nuelmed’s income.
3. Pricing Errors
While we strive for accuracy, pricing or product description errors may occur. Nuelmed reserves the right to correct errors and to cancel any order affected by such errors, even after order confirmation or payment. Any payments made for canceled orders due to pricing errors will be refunded.
4. Payment Terms
Payment must be made in full and in cleared funds according to the payment method and timeline stated on your invoice. Accepted payment methods may include bank transfer, mobile money, or other approved means.
Nuelmed retains ownership of all products until full payment is received. Late payments may attract interest at the maximum rate permitted by law. You agree to reimburse Nuelmed for all reasonable costs incurred in collecting overdue payments, including legal and administrative fees.
5. Orders, Shipment, and Delivery
All orders are subject to acceptance by Nuelmed. Acceptance occurs upon issuance of an invoice or dispatch of goods.
Unless otherwise agreed in writing:
- Delivery terms are Ex-Works (EXW) or Free on Board (FOB) from Nuelmed’s designated location.
- Risk of loss and title pass to you upon handover to the carrier.
- Delivery dates are estimates only and not guaranteed.
Nuelmed shall not be liable for delays caused by shipping providers or circumstances beyond our control.
6. Force Majeure
Nuelmed shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, labor disputes, supply shortages, government actions, transport disruptions, or acts of war.
If such conditions persist for more than ninety (90) days, either party may cancel the affected order without liability.
7. Credit Terms
If credit is extended, it is subject to Nuelmed’s ongoing approval. Nuelmed reserves the right to reduce or withdraw credit facilities at any time and to suspend or cancel orders if your financial condition becomes unsatisfactory.
You represent that you are solvent at the time of each order.
8. Product Substitutions
Where applicable, Nuelmed may supply an equivalent alternative or generic product of comparable quality and function if the originally ordered product is unavailable, unless you expressly request otherwise in writing.
9. Returns and Cancellations
Returns are subject to Nuelmed’s Return & Refund Policy in effect at the time of purchase. Certain products, including medical and consumable items, may not be eligible for return for safety and regulatory reasons.
No returns will be accepted without prior written authorization.
10. Use of Products
You represent and warrant that:
- You hold all necessary licenses, permits, and approvals required to purchase, store, distribute, or use the products.
- Products are purchased for lawful business or professional use only.
- You will comply with all applicable local, national, and international laws and regulations.
Nuelmed reserves the right to suspend future sales if misuse or regulatory non-compliance is identified.
11. Warranty Disclaimer
To the fullest extent permitted by law, products are supplied “as is”, without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except where otherwise required by applicable law.
12. Limitation of Liability
To the maximum extent permitted by law:
- Nuelmed shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business.
- Nuelmed’s total liability for any claim related to a product or order shall not exceed the amount paid by you for that product or order.
Your exclusive remedy shall be, at Nuelmed’s option, repair, replacement, or refund of the affected product.
13. Regulatory and Pricing Disclosure
Where applicable, you are responsible for complying with any regulatory or reporting obligations related to pricing discounts, rebates, or incentives provided by Nuelmed under healthcare, insurance, or government programs.
14. Governing Law and Jurisdiction
These Purchase Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
15. Confidentiality
All pricing, product information, and transaction details provided by Nuelmed are confidential and may not be disclosed to third parties without prior written consent, except where required by law.
